TERMS OF SERVICE

Effective Date: January 8, 2026

These Terms of Service (“Terms”) govern access to and use of the OTLHub platform, website, applications, and related services (collectively, the “Platform”), operated by OTLHub (“OTLHub,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. PLATFORM PURPOSE AND SCOPE

OTLHub provides an online marketplace and communication platform that allows:

  • Homeowners to list properties they may wish to sell and potentially lease back
  • Buyers and investors to discover potential purchase opportunities
  • Licensed real estate professionals to offer representation services
  • Third-party service providers (“Partners”) to promote real estate-related services

OTLHub is a technology platform only. We do not:

  • Act as a real estate broker, agent, lender, or intermediary
  • Recommend, endorse, ranking or guarantee any real estate professional
  • Participate in negotiations or transactions
  • Handle funds, escrow, rent, or deposits
  • Provide legal, tax, or financial advice

All transactions and professional services occur directly between users, outside the Platform.

2. ELIGIBILITY

You must:

  • Be at least 18 years old
  • Have legal capacity to enter contracts
  • Comply with all applicable laws and regulations

Real estate professionals must hold active, valid licenses in their applicable jurisdictions.

3. USER CATEGORIES

OTLHub supports multiple user types, including but not limited to:

  • Homeowners / Sellers
  • Buyers / Investors
  • Licensed Realtors / Brokers
  • Partners / Service Providers

Each user is solely responsible for the accuracy, legality, and completeness of information they provide.

4. NO BROKERAGE, AGENCY, OR FIDUCIARY RELATIONSHIP

OTLHub does not act as:

  • A real estate broker or salesperson
  • An agent or fiduciary for any user
  • A party to any purchase, lease, or leaseback transaction

Any agency relationship exists only between users and the professionals they independently engage.

5. LISTINGS AND CONTENT

Users may submit listings, profiles, messages, and other content (“User Content”). You agree that:

  • All content is truthful and lawful
  • You have the legal right to post such content
  • You will not misrepresent ownership, authority, or intent

OTLHub reserves the right (but has no obligation) to remove content that violates these Terms.

6. COMMUNICATIONS BETWEEN USERS

OTLHub provides messaging and contact tools solely for user-to-user communication. We:

  • Do not monitor or verify communications
  • Are not responsible for representations made by users
  • Do not guarantee responses, outcomes, or transaction success

7. PAYMENTS AND SUBSCRIPTIONS

Certain features may require paid subscriptions or fees. By subscribing:

  • You authorize OTLHub to charge applicable fees
  • Fees are non-refundable unless expressly stated
  • OTLHub does not collect transaction-based commissions

OTLHub does not receive referral fees, rent payments, or sale proceeds.

8. PARTNERS AND ADVERTISING

Partners may advertise services on the Platform. OTLHub:

  • Does not endorse or guarantee Partner services
  • Does not supervise Partner performance
  • Is not responsible for disputes arising from Partner services

Users must conduct their own due diligence before engaging any Partner.

9. FORECLOSURE AND FINANCIAL DISTRESS DISCLAIMER

OTLHub is not a foreclosure rescue service. If you are facing foreclosure or financial hardship:

  • You may have rights under state and federal law
  • You are encouraged to consult a licensed attorney or HUD-approved housing counselor

Participation on the Platform is voluntary, and no outcome is guaranteed.

10. USER OBLIGATIONS AND PROHIBITED CONDUCT

You agree not to:

  • Violate any laws or regulations
  • Post misleading or fraudulent information
  • Circumvent the Platform for improper purposes
  • Use the Platform to provide unlicensed services
  • Harass, coerce, or mislead other users

OTLHub may suspend or terminate accounts for violations.

11. INTELLECTUAL PROPERTY

All Platform content, branding, software, and design are owned by OTLHub or its licensors. You may not:

  • Copy or reverse-engineer the Platform
  • Use trademarks without permission
  • Republish content without authorization

12. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” OTLHub DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Accuracy of listings
  • User performance or reliability
  • Financial or investment outcomes

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTLHUB SHALL NOT BE LIABLE FOR:

  • LOST PROFITS
  • TRANSACTION FAILURES
  • USER DISPUTES
  • INDIRECT OR CONSEQUENTIAL DAMAGES

OTLHub’s total liability shall not exceed the amount paid by you to OTLHub in the prior 12 months.

14. INDEMNIFICATION

You agree to indemnify and hold harmless OTLHub from claims arising out of:

  • Your use of the Platform
  • Your transactions or agreements
  • Your violation of these Terms

15. TERMINATION

OTLHub may suspend or terminate access at any time for violations or operational reasons. You may terminate your account at any time.

16. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in courts located in Texas.

17. CHANGES TO TERMS

OTLHub may update these Terms at any time. Continued use constitutes acceptance of changes.
